BluSky AI Inc. Appoints Theodore P. Botts and Whitney Cluff to Board of Directors

BluSky AI Inc. announced the appointment of Theodore P. Botts and Whitney Cluff to its Board of Directors, effective May 19, 2026. Mr. Botts brings over 40 years of experience in investment banking and finance, having held positions at Chemical Bank, Goldman Sachs, and UBS. He currently provides corporate finance advisory services through Kensington Gate Capital and serves as the chairman of the Audit Committee of Remark Holdings. Mr. Botts holds a Bachelor of Arts degree from Williams College and an MBA from New York University. In conjunction with their appointments, both Mr. Botts and Mr. Cluff entered into Director Agreements and Indemnification Agreements with the Company. Under these agreements, they will each receive an annual fee of $75,000, payable quarterly in shares of the Company's common stock, valued at $3.65 per share. The agreements also include indemnification provisions for their service as directors.
