Amendment to Schedule 13D Filing for Brookfield Business Corp

Brookfield Corp and BAM Partners Trust have amended their Schedule 13D filing regarding Brookfield Business Corp (BBU). The amendment reflects a transaction where BN (Brookfield Corp) will cause its subsidiary to transfer to a subsidiary of BNT (Brookfield Wealth Solutions Ltd.) the lesser of $1,000,000,000 in Class A Shares or 19.5% of outstanding Class A Shares. This transfer, effective April 8, 2026, will be in exchange for class C non-voting shares of BNT. The price per share will be based on the 5-day volume-weighted average price as of April 7, 2026, with an 8% discount. Following this, the shares held by BNT subsidiaries will be subject to a voting agreement between BN and BNT, requiring joint decisions on voting, with some exceptions. As of March 31, 2026, the reporting persons collectively hold 142,749,301 Class A Shares, representing approximately 69.0% of the outstanding shares.
