Bitcoin Infrastructure Acquisition Corp Ltd. Consulting Agreement with Ryan Gentry

Bitcoin Infrastructure Acquisition Corp Ltd. has entered into a Consulting Agreement with Ryan Gentry, effective December 19, 2025. Mr. Gentry will provide consulting services, including analysis of potential investment opportunities for SPACs, accounting, bookkeeping, and administrative support. He will receive a monthly fee of $12,500. The agreement automatically terminates upon the completion of a business combination by the Company, unless terminated earlier by either party.
