Resignation of Director

Baidu, Inc. announced that Mr. James Ding has resigned as an independent director and from his committee positions, including chair of the compensation committee, effective March 17, 2026. The resignation is due to a change in personal work arrangements and is not a result of any dispute with the company. Baidu expressed appreciation for Mr. Ding's contributions and stated that the board committees will be adjusted to comply with corporate governance requirements. Following Mr. Ding's resignation, the audit committee, compensation committee, and corporate governance and nominating committee will each consist of two independent directors.
