Belden Inc. Acquisition of Vistance Networks' RUCKUS Segment

Belden Inc. has entered into a definitive Purchase Agreement to acquire the RUCKUS reporting segment of Vistance Networks, Inc. for approximately $1.846 billion in cash. The transaction is expected to close in the second half of 2026 and will be financed through a combination of cash on hand and committed debt financing. The acquisition is subject to customary closing conditions, including regulatory approvals. Belden Inc. has also secured a commitment for a $1.850 million senior secured term loan B facility to finance the transaction. The agreement includes customary representations, warranties, and covenants from both parties, as well as provisions for indemnification and termination. Ancillary agreements, including an Intellectual Property Matters Agreement and a Transition Services Agreement, will be entered into at closing.
