Appointment of Independent Director

Bain Capital GSS Investment Corp. announced on December 18, 2025, the appointment of Michael E. Purves to its Board of Directors. Mr. Purves, 61, will also serve on the Company’s Audit Committee, Compensation Committee, and Nominating Committee. He is the Chief Executive Officer of Tallbacken Capital Advisors, LLC, and brings over 27 years of financial services experience, including 12 years in investment banking. Mr. Purves holds a BA from Columbia University and an MBA from the Wharton School of the University of Pennsylvania. He owns 30,000 Class B ordinary shares of the Company and has been deemed an independent director with no material interest in related party transactions.
