Banner Corporation Annual Meeting of Shareholders May 20, 2026

The annual meeting of Banner Corporation shareholders was held on May 20, 2026, with a quorum of 26,898,124 shares represented. Shareholders elected the following individuals to the Board of Directors for a one-year term: Ellen R.M. Boyer, Connie R. Collingsworth, Margot J. Copeland, Mark J. Grescovich, Roberto R. Herencia, John R. Layman, Monica B. O’Reilly, John C. Pedersen, Kevin F. Riordan, Judith A. Steiner, Millicent C. Tracey, and Paul J. Walsh. The shareholders also approved, on an advisory basis, the executive compensation. Furthermore, the appointment of Baker Tilly US, LLP as the Company’s independent registered public accounting firm for the year ending December 31, 2026, was ratified.
