Azul S.A. Announces Delivery of Subscription Warrants and Approval of Additional Warrant Issuance

Azul S.A. (B3: AZUL3, OTC: AZLUY) announced the delivery of subscription warrants approved by its Board of Directors on February 19, 2026, and ratified on April 14, 2026. Due to inadvertent sales of preemptive rights in the secondary market, the company was unable to deliver the full amount of warrants to American Airlines, United Airlines, and other creditors under its Chapter 11 plan. To address this, Azul will issue three series of warrants totaling approximately 6.9 trillion units, with trading commencing on May 27, 2026. Additionally, the company's Board approved the issuance of up to 6.93 million additional warrants with a one-year exercise period at an exercise price of US$3.14 per warrant. Shareholders not subject to the Chapter 11 plan will have preemptive rights to subscribe for these additional warrants from May 27 to June 26, 2026.
