Limited Power of Attorney for Ron Philip
This document details a Limited Power of Attorney granted by Ron Philip, a director of Avalo Therapeutics, Inc., to Christopher R. Sullivan and other designated individuals. The attorneys-in-fact are authorized to execute and file SEC forms, including Forms 3, 4, and 5, as well as Schedules 13D and 13G, on behalf of Mr. Philip. This authorization covers all necessary actions to complete, execute, and timely file these forms with the SEC and other relevant authorities. The power of attorney also grants the attorneys-in-fact the discretion to take any action deemed beneficial, in the best interest of, or legally required for Mr. Philip. The document clarifies that the attorneys-in-fact and the Company are not assuming Mr. Philip's compliance responsibilities under Section 16 or Regulation 13D-G. Mr. Philip agrees to indemnify the attorneys-in-fact and the Company against any issues arising from false or misleading information provided. This Power of Attorney remains in effect until Mr. Philip is no longer required to file such forms or until earlier revoked, and it supersedes any prior powers of attorney. It will expire for an individual attorney-in-fact if they cease to be an employee of the Company.
