Arrive AI Inc. Equity Distribution Agreement

Arrive AI Inc. has entered into an Equity Distribution Agreement with Maxim Group LLC to sell up to $14,967,247 of its common stock through an at-the-market offering. Maxim Group LLC will act as the sales agent, offering and selling the shares as permitted by law. The company will pay a 2.5% commission on gross sales. The agreement includes customary representations and warranties, with conditions for the sale of shares. Arrive AI Inc. is not obligated to sell any shares and can suspend sales at any time. The agreement can be terminated by either party with notice. The shares will be issued under the company's effective shelf registration statement on Form S-3.
