Amprius Technologies, Inc. - Officer and Director Change

Amprius Technologies, Inc. announced that Dr. Kang Sun will step down as Chief Executive Officer effective December 31, 2025, and will transition to the role of Executive Advisor starting January 1, 2026. He will remain on the Board of Directors. Dr. Sun's departure is not due to any disagreements. The company has entered into an employment agreement with Dr. Sun, which includes provisions for severance and accelerated vesting of equity awards under certain termination conditions, including a change in control. Concurrently, Mr. Tom Stepien, currently President, has been appointed Chief Executive Officer, effective January 1, 2026. Mr. Stepien will receive an annual base salary of $633,000 and is eligible for a performance-based annual bonus. He has also been granted 200,000 restricted stock units, which will vest over a four-year period. Mr. Stepien brings extensive experience in the battery and technology sectors, having previously served as CEO of South 8 Technologies and in leadership roles at Applied Materials.
