Antelope Enterprise Holdings Ltd. Private Placement Financing

Antelope Enterprise Holdings Ltd. has entered into a securities purchase agreement with certain non-U.S. investors to sell 15,000,000 Class A ordinary shares at $1.266 per share, along with warrants to purchase an additional 15,000,000 ordinary shares at an exercise price of $0.50 per share. The total transaction is valued at $18,990,000. The agreement includes customary representations, warranties, and covenants, and the transaction is anticipated to close in the third quarter of 2026.
