Ambev S.A. Discloses Related Parties Transaction Regarding the Use of BEES Digital Platform

Ambev S.A. has disclosed a related party transaction concerning the use of the BEES digital platform, a B2B sales solution developed by its indirect controlling shareholder, Anheuser-Busch Inbev SA/NV (ABI). The transaction involves Ambev S.A. using the BEES Platform and paying an annual amount aligned with market standards. The agreement also allows Ambev S.A. the possibility to acquire an equity interest or participate in future transactions related to the BEES Platform's ownership. The decision-making process for this transaction was independent and followed Ambev S.A.'s policies, with review and recommendation from its Governance Committee and approval from its Board of Directors. ABI representatives did not participate in Ambev S.A.'s deliberations. Management believes the transaction complies with commutative conditions and provides adequate compensatory payment, based on market references and an independent financial advisor's assessment. The use of the BEES Platform was justified by operational synergy, system compatibility, scale, international reach, specific functionalities, and information security.
