5AM Ventures and Affiliates Liquidate Entire Position in Rallybio Corp

5AM Ventures V, L.P. and its affiliates, including 5AM Opportunities I, L.P., have fully exited their position in Rallybio Corp (RLYB) as of May 4, 2026. This Amendment No. 3 to the original Schedule 13D reflects the open-market sale of all remaining shares held by the reporting entities. Specifically, 5AM Ventures V, L.P. sold 135,319 shares, and 5AM Opportunities I, L.P. sold 156,469 shares, both at a weighted average price of $13.95 per share. Following these transactions, the reporting persons, which include Andrew J. Schwab, Dr. Kush Parmar, and Dr. Scott M. Rocklage, no longer beneficially own any shares of the issuer's common stock. The reporting persons previously held a significant stake in the company since its 2021 filing. This exit concludes their current investment position in the Delaware-incorporated biotechnology firm. All voting and dispositive powers associated with the previously held shares have been terminated as a result of these liquidations.
