Host Digital Inc. Merger and Ownership Update

Host Digital Inc. (formerly Healthy Choice Wellness Corp.) completed a merger on September 17, 2026, where its subsidiary merged with Host Digital Infrastructure LLC (Host DI). Host DI now operates as a wholly owned subsidiary of Host Digital Inc. In connection with the merger, common and preferred units of Host DI were converted into shares of Class A Common Stock or pre-funded warrants of Host Digital Inc. Hans Thomas, who held 450 common units of Host DI, elected to receive shares of Class A Common Stock. These shares are held indirectly through 10X MASTER LLC, of which Mr. Thomas is the sole member and managing member. The closing price of Host Digital Inc. Class A Common Stock on the transaction date was $11.33. Mr. Thomas is identified as a ten percent owner.
