Termination of Equity Transfer Agreement

Li Bang International Corporation Inc. announced that its subsidiary, Jiangsu Li Bang Intelligent Technology Co., Ltd., has entered into a termination letter with the sellers of Suzhou Yufengyuan Food Distribution Co., Ltd. This termination agreement, effective October 8, 2026, cancels the previously signed equity transfer agreement dated April 17, 2026. As a result, neither the purchaser nor the sellers have any further obligations or liabilities under the agreement. The provision for liability for breach of the agreement has also been explicitly excluded from surviving the termination. This termination means the equity transfer transaction will not proceed.
