Atlas Trinity Tech Limited Private Placement

Atlas Trinity Tech Limited has entered into a securities purchase agreement with 15 purchasers to issue and sell an aggregate of 11,750,072 ordinary shares at a purchase price of US$1.27 per share. The aggregate gross proceeds from this private placement amount to US$14,922,591.44. The company intends to use the net proceeds for general corporate purposes. The purchasers have agreed to certain restrictions on the transfer of shares for 60 days following the closing. Atlas Trinity Tech Limited has also agreed to file a registration statement to facilitate the resale of these shares, with a target filing date no later than 60 days after closing. The agreement includes customary representations, warranties, covenants, and closing conditions. If closing does not occur by the fifth trading day after the agreement date, either party may terminate the agreement with respect to their obligations. The shares are being offered to non-U.S. persons in offshore transactions under Regulation S and have not been registered under the U.S. Securities Act.
