Amendment to Registration Rights Agreement

First Mid Bancshares, Inc. entered into Amendment No. 2 to Registration Rights Agreement with EPL LINCO Trust and PL Generations LLC on October 16, 2026. This amendment modifies the definition of "Permitted Transferee" in the original agreement to include PL Generations LLC. Consequently, PL Generations LLC will be bound by the Registration Rights Agreement with respect to any transferred shares and will be considered a "Holder" under the agreement. This change is related to the company's acquisition of LINCO Bancshares, Inc. and a prior issuance of common stock to the Trust. J. Kyle McCurry, affiliated with the Trust and PL Generations, is a director of the Company and First Mid Bank & Trust.
